We offer flat-rate investor verification services for private placement offerings under new rule 506(c). The new rule 506(c) enables companies to use general solicitation, including online advertising, to raise money from accredited investors.
The benefits of using our services:
Investors don’t have to disclose confidential information to others, since information disclosed to us will be protected by the attorney-client privilege
Companies won’t have to worry about complying with the requirement that they “take reasonable steps to verify” that purchasers of their offering are accredited investors, since relying on a third-party attorney opinion is a safe harbor
The opinion we issue can be relied upon for three months
Our low flat-rates won’t be a barrier to completing an investment or a financing round
Net Worth Verification
We can verify that your individual or joint net worth with your spouse exceeds $1 million, if you provide us with the following documents:
One or more of the following documents demonstrating assets in excess of $1 million, including, bank statements, brokerage statements and other statements of securities holdings, certificates of deposit, tax assessments and appraisal reports issued by independent third parties; and
A credit report from at least one nationwide consumer reporting agencies (we can pull this report for you, but our rates are exclusive of the costs associated with ordering the report); and
A signed written representation that all liabilities necessary to make a determination of net worth have been disclosed. Both spouses must sign a representation if relying on joint assets.
We perform this form of verification for the flat rate of $200.
We will verify that your individual income for the last two years has been $200,000 or more, or that your joint income with your spouse for the last two years has been $300,000 or more, and that you have a reasonable expectation of reaching the same level of income this year, if you provide us with the following documents:
Copies of any IRS form that reports income over $200,000 (or $300,000 for joint income), including a Form W-2, Form 1099, Schedule K-1 of Form 1065 for the most recent two years; and
A signed written representation that you have a reasonable expectation of reaching the same level of income during the current year. Both spouses must sign a representation if relying on joint income.
We perform this form of verification for the flat rate of $100.
