I help businesses and entrepreneurs understand their risks, effectively solve legal and strategic problems, and design strategies to structure and capitalize on opportunities.

The best part about my job is…

The opportunity to make a living for my family working with people I care about helping them more effectively pursue their passions and meet their goals.

When I’m out of the office I enjoy…

Time with my wife, son, and dog, particularly outdoors, time with my family and friends, adventuring, fly fishing travel, fly fishing, travel, reading, snowboarding, golf, tinkering with motorcycles, riding my bike, and building things.

REPRESENTATIVE TRANSACTIONS

  • DISPUTE RESOLUTIONS
  • Advised international group on arbitration of corporate governance and intellectual property dispute affecting contract with Fortune 500 company
  • Represented a contractor in an insurance dispute through a jury trial
  • Helped mediate a settlement of intellectual property claims associated with a license granted to a public company
  • Represented a client through a lease dispute that ended with a favorable judgment in court awarding our client damages
  • Negotiated a settlement related to a negligent chemical spill that damaged and interrupted our client's business
  • MERGERS & ACQUISITIONS
  • Advised on the acquisition of real estate and other business assets to expand client's US production
  • Advised hotel group on corporate restructuring, 1031 exchange into a new real estate acquisition, and financing for the purchase of new assets
  • Advised investor on the purchase of an electrical contracting company and the negotiation of a new light industrial lease
  • Structured and negotiated the purchase of an industrial production facility for a major road contractor
  • Advised a partnership on the purchase of an existing retail business, including the negotiation of a new lease

  • Advised software developer on a 20K+ sq. ft. lease with $1M+ tenant improvement build out
  • Drafted and negotiated a major restaurant lease in shared building part of a mixed-use development

  • Advised on commercial leasing matters for a variety of companies including community office orgnaization, tea shop, engineering firm, salon and spa, software developers, major wholesalers, e-commerce companies, and international investors

  • Drafted master general contract for use on smaller infrastructure projects, and negotiated master general contracts on larger projects
